Nu Skin Hong Kong and Macau Markets Growth Incentive Plan

 

Qualification Period: January 1st, 2023 to December 31st 2026

 

Qualification target: Brand Representative (“BR”) or above in Hong Kong and Macau markets

 

Qualification requirements:

1.       During the qualification period, you can accumulate points when you meet the requirements below,

1.1     Every time you qualify for Team Elite can accumulate 1 point. You can accumulate 2 points if it is your first time qualifying for Team Elite (“New Team Elite”).

1.2     Every time you qualify for 1-Star/2-Star/3-Star/4-Star Team Elite Platinum can accumulate 2/4/6/12 points respectively.

1.3     Every Time you develop 1 New Team Elite in your G1 or G2 can accumulate 2 points. (Special Incentive for 2023 and 2024: Every time you develop 1 re-qualified Team Elite in your G1 or G2, you can accumulate 2 points provided that the re-qualified Team Elite never qualified for the 2023 New Zealand Team Elite Trip. Each re-qualified Team Elite account could only be counted for one year’s qualification).

1.4     Every time you develop 1 first time Success Trip qualifier for 2024 (Trip year) Success Trip in your G1 can accumulate 1 point.

1.5     Points will be accumulated in accordance with the completion month of qualification (For example, if a New Team Elite has completed the qualification in February 2024, the points will be accumulated in 2024).

2.       To qualify for this Growth Incentive, you must achieve the following requirements:

2.1 The Qualification Target’s Annual Organizational Sales Volume shall grow by at least 5% comparing with last year.

2.2 The Qualification Target accumulates at least 5 points.

2.3 The Qualification Target must qualify as a Team Elite in the cut-off year.

3.    Definitions:

3.1 Organizational Sales Volume (“OSV”) is the sum of the monthly Sales Volume from your Group, the Groups of your G1–G6 Brand Representatives, the G6 of your Business Builder Position, and the G6 of your Presidential Director Business Builder Position.

3.2 Annual OSV is calculated by summing the OSV from January to December of the year.

3.3 Annual OSV growth is a comparison of the summed OSV from January to December to the summed OSV of the same period of the previous year.

4.    The points only count those come from Taiwan, Hong Kong and Macau markets. The accumulated OSV only counts those from Taiwan, Hong Kong and Macau markets.

 

Qualification rewards:

1.     Milestone Bonus:

You (as a Qualification Target) will get bonus for your accumulated points when you satisfy the qualification requirements during the qualification period:

1.1  Accumulate 5 points: reward HKD 13,000

1.2  When you accumulate more than 5 points, each additional point can be rewarded additional HKD 13,000.

1.3  The points can be accumulated during the qualification period. However, bonus earned by the points will only be awarded once and will not be awarded repeatedly. If a Qualification Target meets the requirement in every cut-off year, the bonus paid in the current year will not include the amount already paid in the previous year.

 

2.     Team Elite Bonus:

2.1  If Nu Skin Hong Kong reaches the revenue target of HKD1 Billion in 2026, a Team Elite Bonus will be released in accordance with the calculations below based on a bonus pool.

2.2  Team Elite Bonus Calculation:  After deducting all bonuses awarded under this Incentive from the total bonus pool of HKD3 million, the remainder amount (the “Remainder Amount”) shall be divided among the 2026 qualified participants in proportion to the number of points they have. Each point can be awarded a share in the Team Elite Bonus that can be calculated by dividing the Remainder Amount by the total points accumulated during the qualification period by all 2026 qualified participants.

2.3  Apart from satisfying the above qualification requirements, for the purpose to qualify for this Team Elite Bonus, Qualification Target’s Annual OSV must grow by at least 30% in 2026 comparing with the same period of 2022.

 

3.     Bonus release time:

3.1  The Milestone Bonus cut off date is 31 December and will be paid in February next year.

3.2  In a year which Nu Skin Hong Kong reaches the applicable revenue target as stated in paragraph 2 above, the Team Elite Bonus receivable by the Qualification Targets will be paid in March next year.

 

Incentive Terms and Conditions

You acknowledge and agree that your participation in this Nu Skin Hong Kong and Nu Skin Macau Growth Incentive Plan ("Incentive") will be deemed your full and unconditional agreement to and acceptance of all Incentive rules and requirements, including these terms and conditions:

1.               This Incentive is only applicable to the Brand representatives (or above) in Nu Skin Hong Kong or Macau market.

2.              Only Nu Skin Brand Affiliates in good standing in participating Velocity markets may participate in this Incentive. If you violate the terms and conditions of your Brand Affiliate Agreement, the Policies and Procedures, Sales Performance Plan, or the relevant terms and conditions of this Incentive (collectively the “Agreements”) during your participation of this Incentive, you may be deemed ineligible to the participation, and Nu Skin may, at its sole discretion, withhold rewards under this Incentive, take any actions provided under the Agreements, and seek to recover any loss incurred by Nu Skin as a result of any manipulation, including withholding future sales compensation.

3.              Eligibility for rewards under this Incentive is based on meeting the qualification requirements of this Incentive also including the requirements of the retail sales in the Sales Performance Plan.

4.              Nu Skin reserves the right to audit and assess the validity of your performance under this Incentive. Any brand affiliate account that was established in violation of the requirements set forth in the Agreements will be considered invalid and may result in disciplinary action.

5.              You may not buy or encourage other Brand Affiliates or Brand Representatives to buy Products in order to qualify for rewards under this Incentive. This Incentive is designed to reward participants for building healthy Consumer Groups and helping other participants build healthy Consumer Groups. Nu Skin reserves the right to refuse to pay any rewards under this Incentive if it determines that the Brand Representative encouraged other participants to purchase inventory to meet qualification requirements rather than assisting them to build a healthy Consumer Group.

6.              Nu Skin reserves the right to cancel your eligibility to participate this Incentive and recoup the reward received by you or an amount equivalent to the recognition if any of the following occurs:

1)              if you no longer satisfy the requirements for recognition following a product return after deducting Sales Volumes of the returned products; or

2)            if you violate the Agreements or any applicable laws and regulations, including but not limited to you manipulating accounts resulting in inventory loading, or you and your downline violate the Agreements or any applicable laws and regulations.

7.              Returns and refunds will be handled in accordance with the Policies and Procedures of Nu Skin and the provisions of the Brand Affiliate Agreement.

8.              Nu Skin reserves the right to modify or terminate this Incentive at any time based on the market performance, participation status or other factors at Nu Skin’s sole discretion and reserves the right of final interpretation and decision. In the event of termination of this Incentive, Nu Skin will only pay the bonus earned before the date of termination of this Incentive.

9.              The meaning of capitalized terms not defined in this Incentive may be found in the Agreements. For the purposes of this Incentive, “Nu Skin Hong Kong” refers to Nu Skin Enterprises Hong Kong, LLC, “Nu Skin” refers to Nu Skin Enterprises Hong Kong, LLC and its affiliates.

10.          If there are any discrepancies between the English version and the Chinese version of the terms and conditions of this Incentive, the Chinese version shall prevail.
